## 1. Acceptance of Terms

By accessing or using IntegrAIte services, including VoiceLens, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

## 2. Description of Services

VoiceLens is a voice AI analytics and management platform for agencies. Features include conversation analysis, multi-client dashboards, and performance tracking.

## 3. Subscription and Billing

3.1 Subscription Plans

All products are offered through subscription and/or usage based plans, with monthly or term-based billing options.

3.2 Payment

You agree to pay all fees associated with your selected plan. Payments are processed through our third-party payment processor. All fees are in US dollars unless otherwise stated.

3.3 Billing Cycle

Subscriptions are billed in advance on a recurring basis according to your selected term (monthly, 6-month, or 12-month).

3.4 Price Changes

We reserve the right to modify pricing at any time. Price changes will not affect active subscription terms until renewal, except for Founding Member accounts as described below.

## 4. Founding Member Pricing

4.1 Eligibility

Founding Member pricing is available exclusively to the first 100 paying customers of VoiceLens Agency or Scale plans.

4.2 Pricing Lock

Founding Members retain their initial subscription rate ("Founding Rate") for as long as their subscription remains continuously active.

4.3 Conditions

Founding Member pricing:

- Applies only to the original subscriber account

- Is not transferable to other accounts, individuals, or organizations

- Ends immediately upon cancellation, non-payment, or account termination

- Ends if the subscriber downgrades to a lower tier or pauses their subscription

- Cannot be reinstated once lost

4.4 Reactivation

If a Founding Member cancels and later resubscribes, they will be charged the then-current standard pricing.

## 5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

5.2 Refunds

Subscription fees are non-refundable except where required by law. We do not provide prorated refunds for partial billing periods.

5.3 Effect of Cancellation

Upon cancellation, your access to VoiceLens features will continue until the end of your paid period, after which your account will be downgraded or deactivated.

## 6. Acceptable Use

You agree not to:

- Use our services for any unlawful purpose

- Attempt to gain unauthorized access to our systems

- Interfere with or disrupt service integrity

- Resell or redistribute access without authorization

- Use our services to generate harmful, deceptive, or illegal content

- Exceed usage limits associated with your plan

## 7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime or service interruptions.

## 8. Intellectual Property

All content, features, and functionality of our products and services are owned by IntegrAIte LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service.

## 9. Limitation of Liability

To the maximum extent permitted by law, IntegrAIte LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

## 10. Messaging Consent

As a user, you must explicitly consent to receive messages from IntegrAIte. Consent can be given through various channels including, but not limited to, our website sign-up forms, paper forms, or verbally through customer service interactions.

Message Types and Frequency

Messages sent by IntegrAIte may include alerts, reminders, promotional offers, updates, and other relevant communications. The frequency of these messages will depend on your interaction with our services and your preferences.

Data Rates and Charges

Standard message and data rates may apply to any messages you send or receive as part of our service.

Opt-Out Instructions

To discontinue receiving messages from IntegrAIte, you can reply "QUIT" to any of our messages at any time.
